Terms of Service

By purchasing, downloading, accessing, or using any product sold by 1st Act ("Seller," "we," "our," or "us"), you agree to these Terms of Service. If you do not agree to these Terms, do not purchase, download, or use the product.

1. Scope and Third-Party Products

These Terms apply to digital products sold directly by 1st Act, including but not limited to avatars, models, textures, materials, assets, accessories, packages, and related downloadable content.

Partner and Third-Party Assets: Some products sold, promoted, distributed, or linked through 1st Act may be created by partners, affiliates, collaborators, or other third-party sellers. Those products are subject to the terms and policies set by their respective creators. Where a third-party product includes its own terms, those separate terms will apply. It is your responsibility to review the specific product listing and any external terms before purchasing.

2. License Grant

When you purchase a product, you receive a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use that product for your own personal use, subject to these Terms.

Permitted personal use includes:

  • Social VR: Private use of the avatar or model on supported VR social platforms, where platform rules allow it.
  • Content Creation: Streaming, VTubing, personal renders, animations, screenshots, and similar personal or creator content.
  • Monetized Private Content: Monetized personal content in private or access-controlled spaces (e.g., Patreon, subscriber-only channels), provided the product files themselves are not redistributed or made available to others.
  • Physical Media: 3D printing for personal use only.
  • Modifications: Modifying the product for personal use, including re-rigging, re-texturing, and making other personal edits.

Commissioning Edits: You may hire another person to modify your purchased product for your personal use only. However, that person must also legally own a valid copy of the same product if they require access to the original source assets.

3. Commercial Use

Commercial public use is prohibited unless we give prior written permission.

You may not use the product in public commercial projects including, but not limited to:

  • Games, apps, or software.
  • Asset packs, resale products, or commercial model libraries.
  • Public brand mascots or public business avatars.
  • Advertising, dedicated sponsorship campaigns, or marketing materials.
  • Public worlds or public avatar repositories.

For clarity:

  • Permitted Monetization: You may monetize standard public content creation (such as Twitch streaming, YouTube videos, and VTubing) via ad revenue, donations, subscriptions, and typical stream sponsorships.
  • Prohibited Commercialization: You may not use the product for corporate commercial deployment, public brand mascots, or to sell physical or digital merchandise featuring the product without our prior written permission.

4. No Public Uploads

You may not publicly upload, publish, distribute, share, or make available the product, whether in original or modified form. This includes public avatar or world uploads, reuploads of edited versions, or uploading the product as part of another character or package.

No public upload is allowed even if the upload is free or you have modified the assets (headswaps, texture edits, etc.).

You may only upload the product privately to your own account where the platform supports private use and does not make the source files accessible to other users for extraction or reuse.

5. Restrictions and AI Limitations

You may not resell, redistribute, share, leak, sublicense, loan, rent, transfer, gift, or otherwise provide the product to another person, in whole or in part.

Specific Restrictions:

  • No AI Training: You may not use the product, its components, or any derivative works for the purpose of training, fine-tuning, or developing machine learning, artificial intelligence, or generative models (including but not limited to 3D-to-3D, image-to-3D, or texture generation AI).
  • No Claim of Ownership: You may not claim the product, or any substantial part of it, as your own work.
  • No Information Removal: You may not remove or obscure any ownership, authorship, watermark, or credit information included with the product.
  • Prohibited Conduct: You may not use the product for harassment, abuse, doxxing, hate, or unlawful conduct.
  • Minor Protection: You may not use the product to create, promote, or distribute sexualized or exploitative content involving minors.

6. Third-Party IP and Prohibited Combinations

You are solely responsible for any edits, combinations, or derivative works you create. You may not combine a 1st Act product with a third-party character, brand, or franchise in a way that violates third-party rights. We do not assume responsibility for user-created combinations with third-party intellectual property.

7. Platform Uploads

When uploading the product privately to supported platforms (like VRChat), you are solely responsible for following that platform's rules. You may not circumvent platform systems to distribute or expose files to others.

8. Age-Restricted Content

If a product is labeled NSFW, 18+, or mature, you represent that you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher. We may refuse service if we believe a buyer does not meet the required age threshold.

9. Refunds

All digital product sales are final except where required by applicable law. Because digital goods are accessible immediately, we are generally unable to offer refunds for mistaken purchases, incompatibility, or lack of platform knowledge.

10. Ownership

All products remain the intellectual property of 1st Act and/or the applicable rights holder. This includes original files, meshes, textures, rigs, and design elements. No ownership rights are transferred to you by purchase.

11. Enforcement and Termination

If you violate these Terms, your license terminates immediately and automatically. Upon termination, you must stop using the product and delete all copies in your possession. We reserve the right to revoke access, refuse future sales, or pursue legal remedies for infringement.

12. Disclaimer and Limitation of Liability

Products are provided "as is." We do not guarantee compatibility with every platform, software version, or third-party tool, nor continued compatibility after platform updates.

To the maximum extent permitted by law, 1st Act is not liable for indirect or consequential damages, user misuse, platform moderation actions (bans or takedowns), or third-party claims arising from your use of the product.

13. Indemnity

You agree to defend and hold harmless 1st Act from claims, damages, or legal fees arising out of your breach of these Terms, your misuse of the product, or your violation of any law or third-party right.

14. Changes to these Terms

We may update these Terms from time to time. The version of the Terms posted at the time of your purchase will apply to that purchase. Updated Terms may apply to later purchases or continued use where legally permitted.
